Pro Services Agreement

Version 4 · Last updated: October 8, 2026

IMPORTANT: Section 15 requires disputes between you and QwikProject — including any claim about your classification as an independent business — to be resolved by binding individual arbitration, and waives class actions and jury trials, unless you opt out as described in the Terms of Service.

This Pro Services Agreement ("Agreement") is between you, the business that bids on jobs through QwikProject ("you" or the "Pro"), and DJS Industries LLC, an Illinois limited liability company ("QwikProject," "we," or "us"). It supplements the QwikProject Terms of Service (the "Terms"), which also apply to you. If this Agreement conflicts with the Terms, this Agreement controls as to Pros. Capitalized terms not defined here have the meanings given in the Terms. You accept this Agreement by checking the box when you create a Pro account or when we ask you to accept an updated version.

1. Independent business

You operate an independent business and are not an employee, agent (except as a limited payment collection agent under Section 6), joint venturer, or partner of QwikProject. You decide whether to bid on any job, and you set your own price, schedule, methods, tools, materials, workers, and subcontractors. QwikProject does not control, and has no right to control, the manner or means of your work. You may offer services through any other channel, including competing platforms. You are not entitled to wages, benefits, workers' compensation, or unemployment insurance from QwikProject. You are solely responsible for your own taxes, licenses, permits, and insurance, and for any workers' compensation coverage required for you and anyone you engage, and for correctly classifying and paying your own workers.

2. Bids and work orders

Each bid you submit is an offer to the Customer to perform the described work for the bid amount. When a Customer accepts your bid, QwikProject generates a written work order from your bid and your account details — your business name, business address, the license number you provided for the Job's state, a description of the work, the parts and materials you listed, and the price and payment schedule — together with any notice or pamphlet the Job's state requires (for example, Illinois' "Home Repair: Know Your Consumer Rights" pamphlet and acknowledgment). By submitting a bid, you sign that work order electronically, including any contractor's acknowledgment that you have provided a required pamphlet. The work order is a contract solely between you and the Customer; QwikProject is not a party to it.

You are responsible for the accuracy of everything that appears on the work order. You will keep your business name, business address, and license number current in your account, and you will list the parts and materials included in your price with reasonable particularity. If the law requires more than the work order provides — for example, starting and completion dates, a different payment schedule, or permit terms — you will give the Customer a supplemental written contract before work starts.

3. Compliance with law

You will comply with all laws that apply to your business and your work in every state and locality where you work, including licensing, registration, and permit requirements; building codes and safety rules; state home-improvement laws on written contracts, required notices and pamphlets, deposits, and insurance (for example, the Illinois Home Repair and Remodeling Act); state mechanics lien laws; the U.S. EPA Renovation, Repair and Painting Rule for pre-1978 homes; consumer-protection laws; and employment, wage, and tax laws for anyone you engage. You will not perform work you are not licensed or qualified to perform. You will add your license number for each state where your work requires one in your account settings and keep it current; some states' home-improvement jobs can't be bid on without one.

4. Documents and badges

You will upload a current business license and certificate of insurance before you bid, and an updated document before each one expires. You represent that every document and account detail you provide is true, current, and yours. You will tell us within 5 days if a license is suspended or revoked or a policy is cancelled, reduced, or not renewed. QwikProject reviews documents only for apparent completeness and expiration dates, and may remove any badge, or suspend your ability to bid, at any time.

5. Insurance

While your account is active, you will maintain, at your expense: (a) commercial general liability insurance of at least $1,000,000 per occurrence and $2,000,000 aggregate, covering bodily injury, property damage, and completed operations, and in no event less than any minimum required by law (including state home-improvement laws such as the Illinois Home Repair and Remodeling Act); (b) workers' compensation insurance as required by law; and (c) commercial auto liability insurance as required by law for vehicles used in your work. Your insurance is primary to any insurance carried by QwikProject or the Customer. On request, you will give a Customer a current certificate of insurance before starting work.

6. QwikProject as your limited payment collection agent

You appoint QwikProject as your limited agent solely to accept payments from Customers on your behalf for jobs booked through the Services. A Customer's payment to QwikProject satisfies the Customer's payment obligation to you to the extent of that payment. You will not seek payment from a Customer, or record or threaten a lien against a Customer's property, for any amount the Customer paid to QwikProject; your sole recourse if QwikProject does not remit funds owed to you is against QwikProject under this Agreement. On request, you will give the Customer a signed lien waiver, and a sworn statement under the Illinois Mechanics Lien Act, for amounts paid to you, and you are responsible for paying your own subcontractors and suppliers so that no lien is recorded against a Customer's property.

Seller of record. Customer charges for your Jobs are processed by Stripe on your behalf, with you as the seller of record (settlement merchant), so your business name may appear on the Customer's card statement. You agree to Stripe's Connected Account Agreement and to keep the card-payments and payouts features of your Stripe account active while you bid.

7. Commission

QwikProject's commission is a percentage of the whole accepted bid amount, deducted from the deposit QwikProject collects for you. The standard rate is 10%. A lower rate may apply to your membership tier or an applied discount code; the rate that applies is shown in your account before you bid. We may change the commission rate on 30 days' notice through the Services or by email. A change does not apply to bids accepted before it takes effect.

8. Payout timing

You must complete Stripe's onboarding for a connected payout account before bidding. QwikProject will initiate payout of your share of the deposit (the deposit less the commission) to your connected account within 5 business days after the Job is complete — meaning the Customer confirms completion, or 48 hours pass after you mark the Job complete without the Customer reporting a problem. If a Customer has reported a problem or requested cancellation, or we reasonably suspect fraud, we may hold only the affected amount until the matter is resolved, and in no event longer than 30 days after completion unless a court order, a card-network dispute, or a legal requirement prevents release. Once initiated, timing of the deposit into your bank account depends on Stripe and your bank.

Deposit and balance. Customers pay a deposit through the Services at booking (25% of the bid, or less where state law limits it). Your payout is the deposit less the commission on the whole bid; if a state's deposit limit means the deposit doesn't cover the commission, there is no payout for that Job. You collect the rest of the bid directly from the Customer, are solely responsible for collecting it, and must not charge more than the remaining bid amount plus any change the Customer agrees to through the Services. QwikProject doesn't collect, guarantee, or report that payment, and your claim for an unpaid balance is against the Customer. You're responsible for reporting and paying taxes on amounts you receive directly.

9. Refunds, chargebacks, set-off, and recovery

Cancellations and refunds follow Section 9 of the Terms. If a Customer receives a refund or chargeback for your Job, or a payout is made in error or through fraud, you authorize QwikProject to withhold pending payouts, reverse transfers to your Stripe connected account, and debit your Stripe connected account, in each case up to the amount refunded, charged back, or overpaid, plus any processor fees caused by your conduct. Any remaining shortfall is a debt you owe QwikProject, payable within 30 days after notice. Where a payment review results in an amount being paid to you, QwikProject will pay it under Section 8.

10. Taxes

You are solely responsible for reporting and paying all taxes on your earnings, and for any sales, use, or service-occupation taxes that apply to materials you supply. QwikProject or its payment processor will issue tax forms (for example, Form 1099-K) as required by law, and you will provide accurate tax information to Stripe.

11. Indemnity

Section 16 of the Terms (Indemnity) applies to you, including your obligation to defend, indemnify, and hold harmless QwikProject from claims arising from work you perform or fail to perform and from any claim that you or anyone you engage is an employee of QwikProject or is owed wages, benefits, taxes, or workers' compensation by QwikProject.

12. Suspension and termination

Either party may end this Agreement at any time by closing your account or by notice. QwikProject may suspend or end your ability to bid for a breach of this Agreement or the Terms, an expired or rejected document, a safety concern, or as described in Section 6 of the Terms. Ending this Agreement does not affect accepted Jobs, which must still be completed or cancelled under the Terms, or amounts owed by either party. Sections 6 and 9 through 16 survive.

13. Release and limitation of liability

Sections 13 (No warranty), 14 (Release), and 15 (Limits on our liability) of the Terms apply to you. For a Pro, the fees counted toward the liability cap include the commissions you paid.

14. Confidentiality of Customer information

You will use Customer information you receive through the Services only to bid on and perform the Job, and will protect it with reasonable safeguards. You will not use it to market to the Customer outside the Services or to arrange work off-platform in violation of the Terms.

15. Arbitration

Section 17 of the Terms (Dispute resolution — binding individual arbitration and class-action waiver), including its opt-out and its waiver of class, collective, and representative proceedings and jury trials, applies to all disputes between you and QwikProject, including disputes about this Agreement, payouts, commissions, set-off, and whether you are an independent business or an employee. For Pros, the AAA Commercial Arbitration Rules apply.

16. General

This Agreement is governed by Illinois law, as provided in Section 18 of the Terms. We may update this Agreement as provided in Section 21 of the Terms; we'll ask you to accept a material update before you bid again. You may not assign this Agreement without our consent. If any part of this Agreement is unenforceable, the rest stays in effect.
